CORPORATE GOVERNANCE AS A PROPELLER OF INNOVATION: AN ANALYSIS FROM THE SYSTEMATIC REVIEW OF LITERATURE

Corporate governance is one of the main challenges for public and private managers, as well as maintaining competitiveness through innovation. The current concept of the term is closely associated with the monitoring and control of the actions of these managers, in order to guarantee the reach of the results to the involved actors. However, monitoring and control are inhibiting elements of innovation so necessary to today's organizations. The objective of this article was to identify elements to be considered for corporate governance to drive innovation. It is a systematic review of the literature, relating the constructs of corporate governance and innovation. The qualitative analysis of 26 articles considered valid pointed out that corporate governance has a positive influence on the innovation of organizations, but it is necessary to adapt to the context of each organization and the innovation characteristics of the sector. For this, the first element to be considered is the presence of innovation in the organization's strategy and policies, followed by the commitment, strategic position and competence of the board for innovation, adaptation of the governance structure, effective management of key competences for innovation, investment in research and development, financing of innovation and technology, control of investment in innovation and management of risks inherent in innovation.
